Smarter Choices Program – Terms and Conditions

1. Offer Overview
The Worksoft Smarter Choices Program (“Offer”) is a limited-time promotional incentive made available by Worksoft, Inc. (“Worksoft”). The Offer is intended to provide eligible enterprises with discounted pricing to facilitate transition from qualifying third-party test automation tools to the Worksoft Connective Automation Platform (“CAP”).

2. Benefits
Subject to these Terms and Conditions, the Offer provides:
(a) a discount of twenty-five percent (25%) off Worksoft’s standard pricing for a three (3) year subscription commitment to CAP;
(b) applicability solely to CAP licenses (excluding Worksoft Data Connect and all other SKUs); and
(c) eligibility whether purchased directly from Worksoft or through a Worksoft-qualified partner.

3. Eligibility
To participate in the Offer, the customer must satisfy all of the following conditions:
(a) be a net-new Worksoft customer (i.e., not currently party to any active Worksoft subscription or license agreement);
(b) commit to a minimum subscription term of three (3) years for CAP;
(c) currently be using, or actively evaluating, a qualifying competitive test automation solution; and
(d) furnish Worksoft with a formal quote or invoice evidencing use or evaluation of such qualifying competitor.

4. Program Period
(a) Opportunities must be submitted to Worksoft and qualified by Worksoft prior to December 31, 2025; and
(b) Promotional pricing issued under this Offer shall remain valid for thirty (30) days from the date of Worksoft’s formal proposal.

5. Limitations
(a) The Offer applies only to CAP licenses and expressly excludes Data Connect and any other Worksoft products or SKUs.
(b) The Offer may not be combined with any other promotion, discount, or special terms.
(c) All pricing extended under the Offer remains subject to Worksoft’s final approval and the terms of the applicable subscription agreement.

6. Reservation of Rights
Worksoft reserves the right, in its sole discretion, to extend, modify, suspend, or withdraw the Offer at any time without prior notice.
